TERMS OF SERVICE

1. Acceptance of Terms

Tellix AI Institute ("we," "us," or "our") provides AI training, corporate workshops, and eLearning services. By registering for our public trainings (Face-to-Face or Online), engaging us for corporate workshops, or accessing the Tellix eLearning Platform, you agree to be bound by these Terms of Service ("Terms").

2. Service Definitions

  • "Public Training" refers to scheduled open-enrollment webinars, masterclasses, or face-to-face (F2F) workshops where individuals register themselves.
  • "Corporate Workshop" refers to private training sessions conducted exclusively for a specific company or organization, whether F2F or online.
  • "eLearning Platform" refers to our proprietary Learning Management System (LMS) hosting on-demand content.

3. Registration and eLearning Access

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials. Sharing your account with others (e.g., one login used by an entire team) is strictly prohibited and grounds for immediate termination without refund.
  • Access Duration: Access to the Tellix eLearning Platform is granted for a specific period (e.g., 1 month or 1 year) as defined in the specific program description at the time of purchase. Access rights expire automatically at the end of this period.

4. Fees and Payment Terms

A. Public Training

  • Full payment is required upon registration to secure your seat.
  • We accept payments via PayMongo and PayPal.

B. Corporate Workshops Unless a specific signed proposal states otherwise, our standard corporate payment terms are:

  • 50% Downpayment: Required upon booking to lock in the training dates and secure resources.
  • 50% Balance: Due on the scheduled day of the workshop.
  • Failure to settle the balance may result in the withholding of certificates or post-training materials.

5. Cancellation, Refunds, and Substitution Policy

A. Public Training (Online & F2F)

  • Refunds: A full refund is allowed only if we receive a written notice of cancellation at least three (3) business days prior to the training date.
  • Late Cancellations: Cancellations made less than 3 business days before the event are non-refundable.
  • Substitution: If you cannot attend, you may send a substitute participant in your place. You must notify us of the substitute's name and contact details prior to the start of the session.
  • No-Shows: Failure to attend without prior notice constitutes a forfeiture of the fee.

B. Corporate Workshops

  • Cancellations and refunds for corporate engagements are governed by the specific terms outlined in the signed Proposal or Service Agreement. If no specific term exists in the agreement, the downpayment is considered non-refundable to cover administrative and preparation costs.

6. Rescheduling and Force Majeure

  • Event Cancellation by Us: Tellix AI Institute reserves the right to cancel or reschedule training due to insufficient enrollment, instructor illness, or unforeseen circumstances. In such cases, registrants will be offered a full refund or a seat in the next scheduled batch.
  • Force Majeure (Typhoons/Calamities): In the event of government-declared suspensions (e.g., Typhoons Signal No. 2 or higher) or other Acts of God that make F2F training unsafe or impossible:
    • The training will be rescheduled to a later date.
    • No refunds will be issued for Force Majeure rescheduling; your registration will automatically carry over to the new date.

7. Intellectual Property and AI Prohibition

All materials provided by Tellix AI Institute—including but not limited to slide decks, workbooks, video recordings, voice lectures, and frameworks—are the exclusive intellectual property of Tellix AI Institute.

Strict Prohibition on AI Training:You are explicitly prohibited from using any content, data, or materials provided by us for the purpose of:

  • Training, fine-tuning, or grounding Artificial Intelligence systems, Large Language Models (LLMs), or Machine Learning algorithms.
  • Creating a "knowledge base" for an AI agent using our proprietary content.
  • Reproducing our content using Generative AI tools.

Any violation of this clause constitutes a material breach of these Terms and may result in legal action and a claim for damages.

8. Media Release (Photo and Video Consent)

By attending our F2F workshops or live webinars, you acknowledge that Tellix AI Institute may take photographs, screenshots, or video recordings of the session for marketing and social media purposes (e.g., LinkedIn posts, website galleries).

  • Consent: You consent to the use of your image/likeness in these materials.
  • Opt-Out: If you do not wish to be photographed, please inform the instructor or organizer prior to the start of the session, and we will respect your privacy.

9. User Conduct

We maintain a professional learning environment. We reserve the right to remove any participant from a training session (without refund) for behavior that is disruptive, abusive, or constitutes harassment toward instructors or other attendees.

10. Limitation of Liability

Our training programs are educational in nature. While we strive to provide the highest quality instruction:

  • We do not guarantee specific business outcomes, revenue increases, or career promotions.
  • We are not liable for any direct, indirect, or consequential damages arising from the use of third-party AI tools taught in our courses.

11. Governing Law

These Terms shall be governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Pasig City.
